Terms of Service

You must be at least 13 years old to use the Services (16 in the European Economic Area), unless we have a separate agreement covering school or organizational use. By using the Services you represent that you meet these requirements.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at legal@spikelabsinc.com of any unauthorized access.

The Services let you connect third-party services (such as Google Calendar) via OAuth. By connecting a third-party service you authorize Spike Labs to access and process the scopes you approve at the consent screen. Your use of those third-party services is governed by their own terms and privacy policies. You may revoke our access at any time via the third party’s account settings or by disconnecting the integration in our application.

You agree not to:

• Use the Services to violate any law or the rights of others.
• Attempt to disrupt, reverse-engineer, or gain unauthorized access to the Services or to data not belonging to you.
• Use the Services to send spam, malware, or harassing content, or to harvest personal information.
• Use the Services in a way that violates a third-party service’s terms when accessing their data through our integrations.

You retain ownership of content you provide to or through the Services. You grant Spike Labs a limited, non-exclusive license to host, process, and transmit your content as necessary to provide the Services. We do not use Google user data for advertising or model training; see our Privacy Policy for details.

Some Services or features may require payment. Pricing, billing terms, and refund policies will be presented at the point of purchase. You are responsible for all applicable taxes.

You may stop using the Services at any time and request deletion of your account by emailing legal@spikelabsinc.com. We may suspend or terminate your access to the Services if you violate these Terms or for security or legal reasons.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. SPIKE LABS DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE FULLEST EXTENT PERMITTED BY LAW.

TO THE FULLEST EXTENT PERMITTED BY LAW, SPIKE LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS IS LIMITED TO THE GREATER OF (a) THE AMOUNTS YOU PAID SPIKE LABS IN THE TWELVE MONTHS PRECEDING THE CLAIM AND (b) ONE HUNDRED U.S. DOLLARS.

You agree to defend, indemnify, and hold harmless Spike Labs and its affiliates from any claim or demand arising out of your violation of these Terms, your violation of applicable law, or your misuse of the Services.

We may update these Terms from time to time. When we make material changes, we will update the “Effective” date above and, where appropriate, notify you in-app or by email. Continued use of the Services after changes take effect constitutes acceptance.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.
